Terms of Service - Okatronic

1. Acceptance of Terms

By using Okatronic's website and services, you agree to comply with the following terms and conditions. If you do not agree, please do not use our services.

2. Definitions

"Okatronic", "we", "our": Okatronic Company
"Customer", "you", "your": Person or organization using our services
"Services": PCB design, fabrication, PCBA assembly, OEM/ODM and related services
"Products": PCB, PCBA and electronic products

3. Scope of Services

3.1 Services Provided

We provide:

PCB design and layout
PCB fabrication (2-16 layers)
PCBA assembly (SMT, Through-hole)
OEM/ODM electronics development
Testing and quality control

3.2 Limitations

We do NOT:

Take responsibility for customer-provided designs (if faulty)
Guarantee products meet all certifications (unless separately agreed)
Take responsibility for component obsolescence

4. Ordering Process

4.1 Quote Request

Customer submits request via website/email
Okatronic reviews and sends quote within 24-48 hours
Customer confirms quote

4.2 Deposit and Payment

New projects: 50% deposit upon contract signing, 50% upon delivery
Production batch: 30% deposit, 70% before delivery
Repeat orders: Net 30 days (for regular customers)

4.3 Lead Time

Lead time is agreed upon in the quotation. We strive to meet timelines but are not responsible for:

Component shortage or delays from suppliers
Force majeure (natural disasters, epidemics, etc.)
Design changes from the customer side

5. Customer Responsibilities

5.1 Technical Documentation

Customer must provide:

Complete and accurate Gerber files, BOM, assembly drawings
Clear technical specifications
Testing requirements (if any)

5.2 Approval and Sign-off

Customer needs to review and approve deliverables (schematic, PCB layout, prototype test report) before proceeding to the next phase.

5.3 Payment

Customer must pay on time as agreed. Late payment may result in delivery delays or service suspension.

6. Quality and Warranty

6.1 Quality Standards

We comply with:

IPC-A-610 Class 2/3
ISO 9001:2015
RoHS compliant

6.2 Warranty

PCB: 30-day warranty for manufacturing defects
PCBA: 90-day warranty for assembly and component defects
Excludes: Design errors, misuse, physical damage

6.3 Return and Refund

Defective manufacturing products can be returned within the warranty period. We will repair or remake at no cost. Refunds apply only in special cases and by agreement.

7. Intellectual Property

7.1 Customer Ownership Rights

Customer retains intellectual property rights to designs and products. We commit not to use or disclose to third parties (NDA may be signed).

7.2 Okatronic Usage Rights

We may use product images (without sensitive information) for marketing, unless customer requests otherwise.

8. Limitation of Liability

In all cases, Okatronic's total liability does not exceed the order value. We are not responsible for:

Indirect, consequential damages (lost profits, etc.)
Errors due to customer design
Component quality issues from suppliers
Certification failures (unless separately agreed)

9. Information Security

Both parties commit to project information confidentiality. NDA may be signed when necessary. See also NDA Policy and Privacy Policy. NDA Policy and Privacy Policy.

10. Force Majeure

We are not responsible for delays or failure to perform obligations due to force majeure: natural disasters, war, epidemics, fire, hacker attacks, government restrictions, etc.

11. Changes to Terms

Okatronic reserves the right to update these terms. Important changes will be notified via email or website. Continued use of services after changes means acceptance of the new terms.

12. Governing Law and Dispute Resolution

These terms comply with Vietnamese law. All disputes will be resolved through negotiation, mediation, or at the competent court in Ho Chi Minh City.
